(一)工作職責(zé)

1、了解、跟進(jìn)航運(yùn)業(yè)有關(guān)的政府、船旗國(guó)、船級(jí)社等主管當(dāng)局的最新公約、規(guī)范,及時(shí)指導(dǎo)下屬企業(yè)執(zhí)行;
2、了解、跟進(jìn)航運(yùn)業(yè)有關(guān)的最新實(shí)用技術(shù)、科研技改項(xiàng)目。推薦經(jīng)評(píng)估合適的方案給管理層決策;
3、審核下屬公司新造船、塢修船的工程合約、圖紙、預(yù)算表等;

Consolidated financial statements
(一)工作職責(zé)
1、依據(jù)會(huì)計(jì)準(zhǔn)則和公司會(huì)計(jì)制度規(guī)定,編制公司合并報(bào)表和內(nèi)部管理報(bào)表,按要求向股東單位、外部機(jī)構(gòu)報(bào)送、披露相關(guān)財(cái)務(wù)信息,為管理決策提供財(cái)務(wù)分析數(shù)據(jù)。審核、監(jiān)督、指導(dǎo)下屬公司的報(bào)表編制工作,及時(shí)處理報(bào)表編制中出現(xiàn)的問(wèn)題;
2、跟蹤會(huì)計(jì)準(zhǔn)則最新變化,評(píng)估對(duì)公司的影響并提出專業(yè)建議,修訂并完善公司的會(huì)計(jì)制度體系;
3、配合維護(hù)和完善財(cái)務(wù)信息系統(tǒng),定期更新財(cái)務(wù)報(bào)表模板,優(yōu)化報(bào)表編制流程﹐不斷提高報(bào)表編制效率;
4、組織公司及各成員單位的年度財(cái)務(wù)決算及外部審計(jì)工作,進(jìn)行專業(yè)指導(dǎo)和協(xié)調(diào),配合集團(tuán)的外部審計(jì)工作;

Legal & Compliance Counsel
(一)工作職責(zé)
1、集團(tuán)企業(yè)法律合規(guī)事務(wù)管理;
2、審查中英文合同以及其他法律文件;
3、參與項(xiàng)目談判、交易架構(gòu)設(shè)計(jì),提供法律意見(jiàn)、與外部律師溝通協(xié)調(diào);
4、處理或協(xié)助處理公司以及下屬公司的有關(guān)法律糾紛或案件;
5、為公司日常經(jīng)營(yíng)管理提供法律咨詢和意見(jiàn);
6、協(xié)助開(kāi)展公司合規(guī)管理體系建設(shè)各項(xiàng)工作;
7、跟蹤、研究有關(guān)法律法規(guī)、國(guó)際公約、政策的制定和變化;
8、日常統(tǒng)計(jì)、分析和報(bào)告工作;
9、完成領(lǐng)導(dǎo)交辦的其他工作。
(二)任職要求
1、大學(xué)本科及以上學(xué)歷,法律相關(guān)專業(yè),兼具中國(guó)法以及普通法(或香港法)教育背景者優(yōu)先;
2、具備航運(yùn)法律專業(yè)知識(shí)優(yōu)先;
3、具備中國(guó)或普通法國(guó)家(或地區(qū))司法職業(yè)資格或律師資格;
4、具備跨國(guó)公司、涉外企業(yè)或知名律師事務(wù)所5年以上相關(guān)法律或合規(guī)事務(wù)工作經(jīng)驗(yàn);
5、良好的普通話及英語(yǔ)口頭表達(dá)和書寫能力;
6、具備管理能力及良好的溝通、協(xié)調(diào)能力;
7、認(rèn)真負(fù)責(zé)、誠(chéng)實(shí)守信、勤奮好學(xué),具有獨(dú)立工作能力兼具高度的團(tuán)隊(duì)合作精神;
8、香港居民優(yōu)先。
Job Responsibilities:
-Group Company related legal and compliance affairs management.
-Draft and review contracts and other legal documents in English or in Chinese.
-Participate in project negotiation, transaction structure design, legal advices providing and lawyer coordination.
-Handle and/or assist or coordinate the handling of litigation, arbitration or other legal claims for the company and/or its subsidiaries.
-Provide legal opinions or advices on the company’s regular business and management.
-Assist the company’s compliance management system building.
-Track research on relevant laws & regulations, international conventions and policies.
-Conduct daily statistics, analyses and reports.
-Other duties as assigned.
Job Requirements:
-Bachelor degree in law or above with solid legal skills, both Chinese law and common law (or Hong Kong law) education background preferred.
-Professional knowledge in shipping and maritime law will be an advantage.
Pass bar exam of PRC or possess other common law jurisdiction qualification.
-5 years above legal/compliance related working experience in reputable law firm, MNC or relevant industry.
-Excellent command of both written and oral Chinese(Mandarin)and English.
-Good management ability with excellent communication and interpersonal skills.
-Strong sense of responsibility, integrity, capability of learning, independent working and smooth cooperation.
-Hong Kong residents are preferred.
